About our terms
- These terms and conditions (“Terms”) set out the rules for using our customer portal: https://portal.kaseum.com/ (the “Kaseum Customer Portal”) and apply between us and you, the person accessing or using the Kaseum Customer Portal (“you” or “your”).
- Please read these Terms carefully before using the Kaseum Customer Portal. By using the Kaseum Customer Portal, you signify that you have read, understood, and agree to be bound by these Terms.
- If you do not agree with any of these Terms, you must not use the Kaseum Customer Portal.
- We recommend that you print a copy of these terms for future reference.

About us
The Kaseum Customer Portal is operated by Kaseum Technology Limited (“we”, “us”, or “our”). We are a public limited company registered in Scotland under company number SC556978 and have our registered office at 5 Carden Place, Aberdeen, Scotland, AB10 1UT.

Using the Kaseum Customer Portal
- The Kaseum Customer Portal is available free of charge to users who have purchased a qualifying product from us.

These Terms may refer to the following additional terms, which also apply to your use of our Kaseum Customer Portal:
- our Privacy Policy
- our Cookie Policy, which sets out information about the cookies on the Kaseum Customer Portal; and
- where you purchase additional products services from us which are separate to the Kaseum Customer Portal, the additional terms and conditions which apply to those services which we will make available to you.

Registration and password security
- In order to be able to access the information offered within the Kaseum Customer Portal, you may need to use a username or email address and a password (“login credentials”). You must not disclose your login credentials to any other person or otherwise allow any person to access the Kaseum Customer Portal using your login credentials.
- We are not obliged to permit anyone to register with the Kaseum Customer Portal and we may refuse, terminate, or suspend registration to anyone at any time.
- You are responsible for making sure that your password and any other account details are kept secure and confidential.
- If we have reason to believe there is likely to be a breach of security or misuse of the Kaseum Customer Portal through your account or the use of your password, we may notify you and require you to change your password, or we may suspend or terminate your account.

Privacy and personal information
Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy available here, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.

Use of Portal Material
- We are the owner or the licensee of all intellectual property rights in the Kaseum Customer Portal, and in the material published on it. Those works are protected by copyright.
- You may only access, view and print information, images and other content displayed on the Kaseum Customer Portal strictly in accordance with these Terms.
- The content on the Kaseum Customer Portal is owned by Kaseum. You may print off one copy, and may download extracts, of any page(s) from the Kaseum Customer Portal for your personal use and you may draw the attention of others within your organisation to content posted on the Kaseum Customer Portal. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. If you print off, copy, download, share, or repost any part of the Kaseum Customer Portal in breach of these Terms, your right to use the Kaseum Customer Portal will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. Our status (and that of any identified contributors) as the authors of content on the Kaseum Customer Portal must always be acknowledged.
- Nothing in these Terms allows you to license any of our intellectual property rights or those of a third party.

Confidential Information
- You will hold in confidence and not disclose any material published on the Kaseum Customer Portal (“Confidential Material”) to any third party except as in accordance with these Terms.

You may disclose Confidential Material:
- to members of your organisation who need to have access to such material for the purposes of exercising your rights and obligations under these Terms, provided that such members are bound by the confidentiality obligations contained in these Terms; and
- to the extent it is required to be disclosed by law or regulatory authority, provided that you give prompt notice of the requirement of such disclosure (where it is lawful to do so) to Kaseum.
- Upon termination of these Terms for any reason or upon our request, you shall return to us or destroy (and confirm such destruction in writing) all Confidential Material in your possession, including any and all copies or extracts thereof.

Accuracy of information and availability of the Kaseum Customer Portal
- We try to make sure that the Kaseum Customer Portal is accurate, up-to-date, and free from bugs, but we cannot promise that it will be. Furthermore, we cannot promise that the Kaseum Customer Portal will be fit or suitable for any purpose. Any reliance that you may place on the information on the Kaseum Customer Portal is at your own risk.
- Any content is provided for your general information purposes only and only to inform you about us and our products and news, features, services, and other websites that may be of interest, but has not been tailored to your specific requirements or circumstances. It does not constitute financial, or legal advice or any other type of advice and should not be relied on for any purposes. You should always use your own independent judgment when using the Kaseum Customer Portal and its content.
- While we try to make sure that the Kaseum Customer Portal is available for your use, we do not guarantee that the Kaseum Customer Portal, or any content on it, will always be available or be uninterrupted.

- Where the Kaseum Customer Portal contains links to other websites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
- We have no control over the contents of those websites or resources.

- We may amend these Terms from time to time. Where we make substantial changes, we will endeavour to make you aware by way of notice on the Kaseum Customer Portal.
- Every time you wish to use the Kaseum Customer Portal, we recommend that you check these Terms to ensure you understand the terms that apply at that time. These Terms were most recently updated on 01-MAY-2024.

Changes to the Kaseum Customer Portal
We aim to update the Kaseum Customer Portal regularly and we reserve the right to update or remove content from time to time to reflect changes, or for business or operational reasons. The content of the Kaseum Customer Portal is subject to change without notice.

Transferring these terms to someone else
We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these Terms.

Compliance with Laws
- You will comply with all laws and regulations applicable to your use of the Kaseum Customer Portal, including but not limited to, data transmission, storage, processing, privacy, security breaches, data residency, import/export controls, and international sanctions.
- You will not allow access to, use of, or ingestion of data to the Kaseum Customer Portal from any countries that are subject to United States, United Nations, European Union or similar trade sanctions/embargoes.

Limitation of our Liability
- Nothing in these Terms excludes or limits our liability for any death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that the law does not allow us to exclude or limit.
- To the maximum extent permitted by applicable law, we exclude all implied conditions, warranties, representations, or other terms that may apply to the Kaseum Customer Portal or any content on it.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
- use of, or inability to use, the Kaseum Customer Portal;
- use of or reliance on any content displayed on the Kaseum Customer Portal; or
- the deletion, or failure to store any communications with you including without limitation your registration details or feedback.

We will not be liable for:
- loss of profits, sales, business, or revenue;
- business interruption;
- loss of anticipated savings;
- loss of business opportunity, goodwill or reputation; or
- any indirect or consequential loss or damage.
- You acknowledge and agree that the Kaseum Customer Portal is a free service and that in no event shall our total liability to you for all damages relating to your use of the Kaseum Customer Portal exceed the amount of £100.

Viruses
- We do not guarantee that the Kaseum Customer Portal will be secure or free from bugs or viruses.
- You are responsible for configuring your information technology, computer programmes and platform to access the Kaseum Customer Portal. You should use your own virus protection software.
- You must not misuse the Kaseum Customer Portal by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Kaseum Customer Portal, the server on which the Kaseum Customer Portal is stored, or any server, computer or database connected to the Kaseum Customer Portal.

Events beyond our control
We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.

Third party rights
No one other than us or you have any right to enforce any of these Terms.

Validity
- If any clause (or sub- clause) of these Terms is deemed unlawful, void or unenforceable, that clause (or sub-clause) shall be deemed severed from the remaining clause and shall not affect their validity and enforceability.
- If any clause or sub-clause of these Terms is deemed deleted under Clause 18.1, you agree to negotiate in good faith to agree a replacement provision that, to the greatest extent possible, achieves the intended commercial result of the original provision.

Governing Law and Jurisdiction
These Terms, their subject matter and their formation are governed by Scots law. The courts of Scotland will have exclusive jurisdiction.
